Disney To Acquire Marvel Entertainment for $4 Billion

According to the New York Times (via Topless Robot), Disney has agreed to acquire Marvel Entertainment for $4 billion in cash and stock. This deal gives Disney rights to over Marvel’s 5,000+ characters, not to mention control over Marvel’s licensing, publishing, and film production capabilities. This acquisition is interesting for many reasons, not the least of which is that one year ago Marvel re-upped its contract with Paramount to distribute its next five films, including Iron Man 2, The Avengers, and Thor, among others. Furthermore, there are a plethora of loose ends, licensing-wise, that Disney will have to contend with before this deal starts to show its true worth.

Undoubtedly, the effects of this massive shift in the entertainment industry will be felt for quite some time. This is one of the largest acquisitions in Disney’s recent history, surpassed only by its acquisition of Pixar for $7.4 billion in 2006 (and I think it’s safe to say that deal had a pretty significant impact on both companies involved).

Burbank, CA and New York, NY, August 31, 2009 —Building on its strategy of delivering quality branded content to people around the world, The Walt Disney Company (NYSE:DIS) has agreed to acquire Marvel Entertainment, Inc. (NYSE:MVL) in a stock and cash transaction, the companies announced today…

“This transaction combines Marvel’s strong global brand and world-renowned library of characters including Iron Man, Spider-Man, X-Men, Captain America, Fantastic Four and Thor with Disney’s creative skills, unparalleled global portfolio of entertainment properties, and a business structure that maximizes the value of creative properties across multiple platforms and territories,” said Robert A. Iger, President and Chief Executive Officer of The Walt Disney Company. “Ike Perlmutter and his team have done an impressive job of nurturing these properties and have created significant value. We are pleased to bring this talent and these great assets to Disney.”

“We believe that adding Marvel to Disney’s unique portfolio of brands provides significant opportunities for long-term growth and value creation,” Iger said.

“Disney is the perfect home for Marvel’s fantastic library of characters given its proven ability to expand content creation and licensing businesses,” said Ike Perlmutter, Marvel’s Chief Executive Officer. “This is an unparalleled opportunity for Marvel to build upon its vibrant brand and character properties by accessing Disney’s tremendous global organization and infrastructure around the world.”

Under the deal, Disney will acquire ownership of Marvel including its more than 5,000 Marvel characters. Mr. Perlmutter will oversee the Marvel properties, and will work directly with Disney’s global lines of business to build and further integrate Marvel’s properties.

    To economypear, I really don't think they'd try to rein them in. Marvel already allows more "family-friendly" programming on TV with their Teen X-Men and whatnot, and I personally would love to watch Avengers Babies....

    But seriously, it doesn't sound like they should get any interference in the movies, and hopefully they'll have more reach to either reacquire the outsourced properties (Spider-Man, X-Men, especially, not so much Hulk since Universal was cool with them putting Tony Stark in it), or at least a stronger hand that might force better quality out of those properties (Spider-Man, X-Men, X-Men Origins).

    i think you are under estimating disney. I mean if you look at some of t he themes of some of these pixar films (ratatouille= chef who kills himself for losing michlin star) it can't be too bad

    I'm hoping this is just film distribution not production...leaving Marvel Studios to do their thing...when I saw Spider-Man, X-Men and Hulk...it made me think about Disney taking control of the toys and cartoons rather than the ownership of the characters...there are way too many studios that have film rights and this sounds a bit odd....

    Every one. It's enough that the idiotic mpaa censors directors ideas, we don't need more restrained movies by companies that see themselves as family friendly. No R movies means less freedom for the directors and no interesting angles on some characters. Be real and think how many good movies you've seen were R and how many PG-13.
  • What have been the best superhero movies that have been released? Spiderman 2, Iron Man, The Dark Knight, Batman Begins. All PG-13. Marvel doesn't need to go all dark and edgy with all there movies. Most of them seem to benifit when they avoid it. I just think it's not a big deal if Marvel never gets an R movie. Do we really need Iron Man to say fuck? Will it really help the movie if Captain America decapitates somebody? No, they can easily keep it PG-13 and keep it a good movie. Besides, the point is moot anyway, as it doesn't seem the mouse is gonna make any changes at the moment. (Also, I know Batman is a DC character, I'm just using the movies as an example of a good PG-13 superhero movie)

    And to continue on what Peter Donohue said, a kick-ass superhero movie can even be made at the PG level, with The Incredibles (but definitely not Fantastic 4, shudder).

    That being said, I can't wait for Kick-Ass and all of it's Rated R glory.

    1.) ESPN, ABC and the Weinstein-less Miramax is owned by Disney. And they're fairly seperate.

    2.) Warner Bros owns DC

    3.) Pixar won't be doing any Marvel movies, so stop dreaming.

  • Thanks for speaking some sense. Though, I'm still nervous. I mean, Disney does a fair job of managing companies it owns without screwing with them. They more or less let Pixar do what Pixar want to do. So if that's how they treat Marvel, and this is purely a mutually beneficial business deal, giving Marvel resources they can't get on their own, and of course giving Disney a share of the profits, then fine.

    The minute that Disney starts touching Marvel characters or stories, though, that's when I'll get ticked.

    Also, not for nothing...but could we maybe not include a full-blown Disney logo before Marvel movies? I kinda feel that Iron Man would be a little tainted by a pretty fancy castle in the opening.

    When asked if there was potential for cross-polination between Marvel and Pixar, Disney said that Pixar’s John Lasseter has met with key Marvel creative executives recently and the group got “pretty excited, very fast.” Disney will look at all opportunities and thinks there are some exciting product that could come from this sort of partnership.

    I always forget about this bit, since it's been the only DC most of us has ever known. I think there could be a very nice fit with Marvel/Disney. People talk about impacts on Marvel, but I could see some positive impacts on Disney, influenced their handling of Marvel's properties.

What I know is that when Disney wasn't in the picture, we got things like 'FF2' and 'Ghost Rider' meanwhile Disney has been supporting things like 'The Incredibles', 'The Nightmare Before Christmas' and 'Tron: Legacy.'
    Also, films like 'Captain America' won't be messed with. They're already contracted.

  • It'll probably close down as soon as the current deal is done, as will any other Marvel licensed theme park attractions.
